These terms apply to lithicalstudio.com and the Lithical client portal at portal.lithicalstudio.com (together, the “Services”), provided by Lithical LLC (“Lithical,” “we,” “us”). By using the Services, you agree to these terms. If you are using them on behalf of a business, you agree on its behalf.
Client agreements
The marketing services we provide are governed by the signed agreement between Lithical and each client. If that agreement conflicts with these terms, the signed agreement controls.
Accounts
Portal accounts are created by Lithical for our clients and staff. You are responsible for keeping your sign-in details secure and for activity under your account. Tell us right away at hello@lithicalstudio.com if you think your account has been accessed without permission.
Acceptable use
You agree not to:
- use the Services for anything unlawful or harmful;
- access accounts or data that are not yours, or try to get around security measures;
- interfere with or overload the Services; or
- copy, resell, or reverse engineer the portal, except as the law allows.
Connected accounts
When you connect an advertising or email marketing account, you confirm you are authorized to do so and allow us to read data from it to provide our services. Your use of those platforms remains subject to their own terms. You can ask us to disconnect an account at any time.
Invoices and payments
Invoices are issued through Stripe and are due according to the payment terms shown on each invoice and in your client agreement. Payments are processed by Stripe under its own terms.
Your content
You keep ownership of the materials and data you provide. You give us permission to use them as needed to provide our services to you.
Our content
The Services, including their design, software, and the Lithical name and logo, belong to Lithical. Work product we create for clients is owned as described in the client agreement.
Privacy
Our Privacy Policy explains how we handle personal information, including information received when you sign in with Google.
Disclaimers
The Services are provided “as is” and “as available.” To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Reports and performance figures rely on data from third-party platforms, and we do not guarantee particular marketing results.
Limitation of liability
To the extent the law allows, Lithical will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Services. Our total liability for any claim about the Services is limited to the amount you paid us in the twelve months before the claim arose.
Suspension and termination
We may suspend or end access to the portal if these terms are broken or if a client relationship ends. You may stop using the Services at any time.
Changes to these terms
We may update these terms from time to time. When we do, we will change the date at the top of this page. Continuing to use the Services after an update means you accept the new terms.
Governing law
These terms are governed by the laws of the state in which Lithical LLC is organized, without regard to its conflict-of-laws rules.
